Welcome to Agnolytics Ltd! These Terms of Service ("Terms") govern your access to and use of our CRM platform, including our AI-powered voice agent services, available via www.agnolytics.com and associated subdomains ("Platform").

By accessing or using our services, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you are using our services on behalf of a company or organisation, you represent that you are authorised to bind that entity to these Terms.

1. About Us

Agnolytics Ltd is a private limited company registered in England and Wales, providing a cloud-based CRM software service embedded with intelligent voice AI agents for B2B and B2C businesses.

2. Our Services

Agnolytics offers a SaaS (Software-as-a-Service) platform for managing customer relationships, automating workflows, and deploying AI voice agents for inbound and outbound interactions.

Services include:

• CRM and contact management
• Voice AI agent automation
• Custom integrations (via APIs)
• Campaign management and analytics
• Bespoke CRM deployment for enterprise clients

3. User Accounts

To use our services, you must:

• Register with accurate, complete, and up-to-date information
• Keep your login credentials secure and confidential
• Not share or sublicense your access without permission

You are responsible for all activities under your account. Notify us immediately of any unauthorised access.

4. Subscriptions, Billing, and Refunds

• Agnolytics operates on a subscription model (monthly or annually).
• Prices and plan details are listed on our website or contractual agreement.
• Payment is due in advance.
• All fees are exclusive of VAT or other taxes unless stated otherwise.
• You may cancel anytime; however, no refunds are issued for the unused portion of the term unless otherwise required by UK law (e.g. Consumer Contracts Regulations 2013).

5. Permitted Use and Restrictions

You agree not to:

• Use the platform for illegal, harmful, or abusive activities
• Attempt to reverse engineer, duplicate, or sublicense the platform
• Mislead users through AI-generated content or voice agents
• Violate any applicable local, national, or international law

We reserve the right to suspend or terminate your access if you breach these Terms.

6. Data Protection & Privacy

We are fully committed to protecting your privacy.

• UK Compliance: We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
• EU/Global Compliance: Where applicable, we also comply with the EU GDPR, CCPA (California Consumer Privacy Act), and other local data privacy laws.

Agnolytics acts as a data processor for customer data processed through the CRM. You retain ownership of your data. We implement appropriate technical and organisational safeguards to protect your information.

7. AI Voice Agent Usage

By using our AI voice services:

• You are responsible for ensuring proper notice and consent are obtained from your end users, as per applicable telecommunications and privacy laws
• You agree not to use AI agents for impersonation, harassment, fraud, or deception
• Agnolytics reserves the right to monitor usage to ensure compliance with ethical standards and service quality

8. Intellectual Property

All intellectual property rights in the platform, including software, content, and branding, are owned by or licensed to Agnolytics Ltd.

You may not:

• Copy, distribute, or publicly display any part of the platform without prior consent
• Use our trademarks or branding without permission

9. Service Availability & Changes

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may update, enhance, or discontinue parts of the service at our discretion.

Advance notice will be provided for any material changes affecting core functionality or pricing.

10. Limitation of Liability

To the extent permitted by law:

• Agnolytics Ltd shall not be liable for indirect, incidental, or consequential damages (including loss of profits, data, or revenue)
• Our total liability shall not exceed the amount paid by you for services during the 12-month period preceding the claim

This does not exclude or limit liability for death or personal injury caused by negligence, or any other liability which cannot be excluded under UK law.

11. Termination & Account Suspension

We may suspend or terminate your access if:

• You breach these Terms
• Your payment fails or remains overdue
• We are required to do so by law or for operational reasons

Upon termination:

• Access will be disabled
• We may retain your data for a defined retention period (e.g., 30-90 days) before deletion
• You are responsible for exporting your data before the end of this period

12. Modifications to Terms

We may revise these Terms from time to time. You will be notified of material changes via email or within the platform. Continued use of the service after changes implies acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Global Use

If you are accessing the platform from outside the United Kingdom, you do so at your own risk and are responsible for compliance with local laws. These Terms apply globally to all users unless local law requires otherwise.
